Agreement to Terms
Welcome to AQMEN ("we," "us," or "our"). These Terms of Service (the "Terms") constitute a legally binding agreement governing your access to and use of our services, including but not limited to our website, applications, APIs, software, documentation, content, features, functionalities, tools, and any related services provided by us (collectively, the "Services").
By accessing, browsing, registering for, subscribing to, or otherwise using our Services, you ("you" or "User") acknowledge that you have carefully read, understood, and unequivocally agree to be bound by these Terms, as well as our Privacy Policy and any other guidelines, rules, or policies referenced herein or made available to you. If you do not agree to all of these Terms, you are expressly prohibited from accessing or using our Services and must immediately cease any such use.
Description of Services
We offer a productivity platform designed specifically for management consultants conducting commercial due diligence. Our platform, powered by our proprietary AI agent Lio, automates core analytical tasks typically performed in Excel and PowerPoint—such as market sizing, competitive analysis, and company assessments—freeing up consultants to focus on higher-order thinking and strategic insight development.
These Services leverage sophisticated machine learning models, including large language models and structured data pipelines, to interpret complex prompts and generate decision-ready outputs across various business domains. Our offerings may include, but are not limited to:
Text and Slide Generation: Automatically generating high-quality written content and consulting-style slides for insights, hypotheses, and conclusions based on input prompts and data structures.
Market and Company Analysis Tools: Automating the construction of market models, value driver trees, and comparable company assessments through structured logic and AI interpretation.
Dynamic Scenario Modeling: Allowing users to interact with market assumptions in real time and immediately visualize scenario changes without manual spreadsheet adjustments.
Knowledge Capture and Scaling: Embedding and reusing firm-specific frameworks, assumptions, and best practices into dynamic models and templates for repeatable quality delivery.
Interactive User Collaboration: Providing an interface that facilitates team alignment through shared outputs that can be adjusted and reviewed live in working sessions.
The specific features, functionalities, capabilities, availability, and performance of our Services are subject to ongoing development, updates, enhancements, modifications, and potential discontinuation at our sole discretion. We provide these Services on a dynamic basis and do not guarantee the availability of any particular feature or functionality at all times.
User Accounts and Registration
3.1. Account Creation and Verification
To access certain aspects of our Services, you may be required to create a user account. You agree to provide accurate, current, and complete information during the registration process. We may implement verification procedures to ensure the accuracy of your account information, and your access to certain features may be contingent upon successful verification.
3.2. Account Security and Confidentiality
You bear the sole responsibility for safeguarding the security and confidentiality of your account credentials, including your username, password, and any other access codes or authentication methods. You agree to choose a strong and unique password and to take all necessary steps to prevent unauthorized access to your account. You must promptly notify us of any suspected or actual unauthorized access to or use of your account. You will be held liable for any losses incurred by us or others due to any unauthorized use of your account resulting from your negligence in safeguarding your credentials.
3.3. Account Usage and Monitoring
You are responsible for all activities that occur under your account, whether or not you authorized them. We reserve the right to monitor your account activity for security purposes, to ensure compliance with these Terms.
3.4. Multiple Accounts
Unless expressly permitted by us in writing, you are prohibited from creating or maintaining multiple accounts. We reserve the right to merge, suspend, or terminate any duplicate or unauthorized accounts.
3.5. Account Inactivity
We reserve the right to suspend or terminate accounts that have been inactive for more than one (1) year with or without prior notice.
Subscription Plans, Billing, and Payment
4.1. Subscription Models and Tiers
We offer various subscription plans, which may include free tiers, trial periods, and paid subscriptions with different features, usage allowances (e.g., number of generations, API calls, storage limits), support levels, and pricing structures. The specifics of each plan are detailed on our pricing page, within our applications, or on a specific Order Form signed by you.
4.2. Billing Cycles and Payment Methods
Subscription fees are typically billed on a recurring basis (e.g., monthly, annually) depending on your chosen plan. You agree to provide us with accurate and up-to-date payment information, such as credit card details or other accepted payment methods. You authorize us to charge the applicable subscription fees and any overage charges to your designated payment method.
4.3. Automatic Renewal and Cancellation Procedures
Paid subscriptions will automatically renew at the end of each billing cycle for the same period unless you affirmatively cancel your subscription prior to the renewal date. You can manage your subscription and cancel auto-renewal through your account settings or by contacting our customer support. The cancellation will be effective at the end of the current billing cycle, and you will continue to have access to the Services until that time.
4.4. Price Adjustments and Notifications
We reserve the right to modify our subscription fees at any time. We will provide you with reasonable advance notice of any price changes, typically via email or through a notification within the Services. Your continued use of the Services after the effective date of the price change constitutes your acceptance of the new fees.
4.5. Payment Processing and Security
We utilize third-party payment processors to securely handle billing and payment transactions. You acknowledge that your payment information will be processed by these third-party processors in accordance with their terms and privacy policies. We are not responsible for the security or integrity of these third-party payment processing services.
4.6. Overage Fees and Usage Monitoring
If your usage of the Services exceeds the limits associated with your subscription plan, you may incur overage fees as specified in your plan details. We may provide tools or notifications to help you monitor your usage. You are responsible for monitoring your usage and ensuring it stays within the limits of your plan or for paying any applicable overage fees.
4.7. Promotional Offers and Discounts
We may offer free trials, promotional subscriptions, or discounts. These offers may have specific terms and conditions, including duration, eligibility criteria, and automatic conversion to paid subscriptions after the promotional period ends. You are responsible for understanding and complying with the terms of any promotional offers you participate in.
Acceptable Use Policy
You are strictly prohibited from using our Services to:
5.1. Generate Content that Violates Laws or Regulations:
Create, upload, or share content that violates any applicable local, state, national, or international laws, regulations, or ordinances, including but not limited to laws related to intellectual property, privacy, defamation, obscenity, child exploitation, and hate speech.
5.2. Promote Illegal Activities or Substances:
Generate content that promotes or provides instructions on illegal activities, the use of illegal drugs, or the misuse of legal substances.
5.3. Engage in Phishing or Fraudulent Schemes:
Use our Services to create content for phishing scams, pyramid schemes, or other fraudulent or deceptive practices intended to solicit personal information or financial gain under false pretenses.
5.4. Generate Malicious Code or Harmful Software:
Create or disseminate computer viruses, worms, Trojan horses, spyware, adware, or other malicious code or programs designed to damage, interfere with, intercept, or expropriate any system, data, or personal information.
5.5. Impersonate Individuals or Entities:
Impersonate any person or entity, including our employees or representatives, or falsely state or otherwise misrepresent your affiliation with any person or entity, with the intent to deceive or mislead.
5.6. Generate or Disseminate Misinformation or Disinformation:
Create or spread false, misleading, or inaccurate information, particularly if it could cause harm or public confusion.
5.7. Engage in Cyberbullying or Harassment:
Use our Services to engage in bullying, harassment, stalking, or any other abusive or threatening behavior directed at individuals or groups.
5.8. Generate Spam or Unsolicited Commercial Communications:
Use our Services to generate or distribute unsolicited emails, messages, or other forms of commercial communications ("spam").
5.9. Circumvent Security Measures:
Attempt to probe, scan, or test the vulnerability of our Services or any related systems or networks or breach any security or authentication measures.
5.10. Reverse Engineer or Extract Source Code:
Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code, underlying algorithms, models, or architecture of our Services, except to the extent that such activity is expressly permitted by mandatory applicable law, and only with prior written notice to us.
5.11. Interfere with Service Operations:
Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, disrupts or interferes with the proper working of our Services, or restricts or inhibits any other user from using or enjoying the Services.
5.12. Develop Competing AI Models:
Use the Input Content or Generated Output, or insights derived therefrom, to directly or indirectly train, develop, or improve any AI models or services that compete with our Services.
5.13. Sublicense, Resell, or Lease the Services:
Sublicense, resell, rent, lease, transfer, assign, or distribute access to our Services to any third party, except as expressly permitted under a separate commercial agreement with us.
5.14. Violate Export Control Laws:
Export, re-export, or transfer our Services or any related technical data in violation of any applicable export control laws, regulations, or sanctions administered or enforced by the United Kingdom, the United States, or any other relevant country.
5.15. Facilitate Gambling or Illegal Transactions:
Use our Services to facilitate or promote illegal gambling, the sale of illegal goods or services, or other unlawful transactions.
5.16. Generate Content that Infringes on Publicity Rights:
Create content that uses the name, image, likeness, or other personal attributes of an individual without their consent, where such use infringes on their publicity rights.
We reserve the right to monitor the use of our Services and to remove, disable access to, or refuse to generate any content that we believe, in our sole discretion, violates these Terms or is otherwise objectionable or harmful.
